Public Offer and Terms of Use of PersAI

This document is a public offer by Individual Entrepreneur Karnaukh Alexey Sergeevich to provide access to the PersAI service on the terms set out below. Acceptance of this offer is deemed to occur upon registration in the service, use of PersAI functionality, selection of a plan, payment for a subscription, or any other actual use of the service.

1. Parties and Service

PersAI is a software service of a personal AI assistant, including a web interface, chats, memory, files, document generation, media features, integrations, and related digital tools.

2. Subject of the Offer

The service provider grants the user a limited, non-exclusive right to access PersAI via the Internet within the scope of the selected plan, product limitations, and published service rules.

PersAI functionality may include the use of third-party technology providers for authentication, billing, notifications, AI processing, file storage, document generation, and delivery of results to the user.

3. Registration and Account

The user agrees to:

  • provide accurate information during registration and payment;
  • keep access credentials confidential;
  • not transfer the account to third parties without the provider’s consent;
  • promptly notify the provider of any suspicion of unauthorized access.

The user bears the risk of consequences arising from the use of their account until the provider is notified of the compromise.

4. Permitted Use

PersAI may not be used:

  • in violation of the laws of the Russian Federation or other applicable laws;
  • for spam, phishing, malicious code, fraud, or bypassing technical restrictions;
  • in a way that infringes the rights of third parties, including intellectual property rights and personal data rights;
  • to create or distribute prohibited, harmful, discriminatory, extremist, or otherwise unlawful content;
  • in a manner that creates excessive load on the service infrastructure or compromises PersAI security.

The provider may restrict or suspend access to the service if there are reasonable grounds to believe that the user has violated this offer, security requirements, or mandatory legal provisions.

5. Plans, Payments, and Subscriptions

Access to some PersAI features may be provided on a paid basis by subscription or as one-time digital packages/add-ons. Current pricing, limits, subscription period, auto-renewal information, and the scope of paid features are indicated in the product interface at the time of purchase.

If auto-renewal is enabled in the product, the user agrees to the charge for the next period in accordance with the selected plan until auto-renewal is disabled by the user or by the provider.

Requests regarding payment, refunds, and subscription cancellation are reviewed taking into account actually provided services, used limits, the nature of digital access, and mandatory consumer protection requirements.

6. User Content and AI Outputs

The user retains rights to the original materials they lawfully upload or enter into PersAI.

The user grants the provider and engaged technology providers the right to use such content to the extent necessary for:

  • operation of service functions;
  • storage, processing, and delivery of results;
  • security, debugging, and support;
  • execution of user requests to AI models and external tools.

The user warrants that they have the necessary rights and lawful grounds to upload content to PersAI and to instruct the service to process it.

AI responses, documents, images, videos, voice outputs, and other results are generated automatically and may contain errors, inaccuracies, or unsuitable conclusions. The user must independently verify material information before relying on it in legal, financial, medical, HR, or other significant contexts.

7. Intellectual Property

Exclusive rights to PersAI, its software code, interfaces, design, databases, trademarks, and other service elements belong to the provider or its rightsholders.

The user may not:

  • copy, decompile, modify, or otherwise unlawfully use the code and elements of PersAI;
  • extract data and materials from the service by means not intended by the product’s ordinary functionality;
  • use PersAI to create a competing service by unlawfully copying its logic, data, or interfaces.

8. Service Availability and Changes

PersAI is provided on an “as is” and “as available” basis. The provider may develop, modify, suspend, or change individual features, plans, limits, interfaces, integrations, and the set of technology providers, provided this does not conflict with mandatory legal requirements.

The provider may update this offer. The new version applies from the moment it is published on the website, unless a different date is stated in the text of the version. Where the law requires separate consent, the provider will request such consent separately.

9. Liability of the Parties

The provider is not liable for:

  • service interruptions caused by communications providers, cloud platforms, payment services, AI providers, or other third parties;
  • errors, distortions, or subjectivity of AI outputs;
  • losses incurred by the user as a result of using the service contrary to its intended purpose, violating instructions, or relying on AI responses without verification;
  • actions of third parties who gained access to the user account due to the user’s own fault.

Nothing in this offer limits consumer rights that cannot be limited by law.

10. Personal Data and Communications

Personal data is processed in accordance with the published PersAI Personal Data Processing Policy.

Advertising and marketing messages, if sent to the user, are sent only with separate prior consent in cases where such consent is required by law. The user may opt out of such messages at any time.

11. Governing Law and Disputes

This offer is governed by the laws of the Russian Federation.

Disputes and claims should, where possible, be resolved through negotiations. If no agreement is reached, the dispute shall be resolved in accordance with the applicable laws of the Russian Federation.
